Customer Portal, RFQs, Quotes and Orders — governing your use of specialistcomponentssupply.com and our services.

1. About us
Specialist Components Supply Ltd (“SCS”, “we”, “our”, “us”) is a private company limited by shares incorporated in Zambia and registered with the Patents and Companies Registration Agency (PACRA). We supply mining and industrial components and related products to customers in Zambia and across Africa.
These Terms & Conditions govern your use of:

- Any RFQ, quote or order you submit or accept through our systems
By using our website or Portal, submitting an RFQ, or accepting a quote or order, you agree to these Terms.
2. Eligibility and account registration
You may use the Portal and submit RFQs on behalf of a registered company or organisation, or yourself as an individual customer where permitted.
You must:
- Provide accurate contact, company and delivery information.
- Keep your login details and account secure.
- Only use the Portal for lawful purposes and genuine commercial enquiries.
We may refuse, suspend or close accounts where we reasonably believe there is misuse, fraud, or non‑compliance with these Terms.
3. RFQs, quotes and orders
3.1 RFQs
When you submit a Request for Quotation (RFQ) through the website or Portal, you are asking SCS to provide a price and commercial terms for specified components or services. RFQs are not binding on either party.
3.2 Quotes
SCS will endeavour to respond to RFQs within a reasonable time (typically 24–48 hours, subject to complexity and availability). Quotes are based on the information you provide, may include pricing, lead times, delivery terms and any special conditions, and are valid only for the period stated on the quote (or, if no period is stated, for 14 days from issuance), unless otherwise agreed.
3.3 Orders and acceptance
Your order is accepted when you confirm acceptance of a quote in writing (email, Portal confirmation or signed document), and SCS confirms the order and allocates stock or issues a formal order acknowledgement. Once accepted, a binding contract exists for the items, prices and terms in the accepted quote. Changes or cancellations must be agreed in writing.
4. Prices, taxes and payment
4.1 Prices
Unless stated otherwise, prices are quoted in Zambian Kwacha (ZMW) or another agreed currency, are exclusive of VAT and other applicable taxes which will be added where required by law, and may be based on cost‑plus margin or case‑by‑case commercial considerations. SCS reserves the right to correct obvious pricing errors and will notify you promptly if any correction is needed.
4.2 Payment terms
Payment terms will be stated on the quote or invoice and may include bank transfer to the SCS business bank account, card or mobile payments via approved payment providers (e.g. Paystack, PayPal) when available, and any agreed credit period or deposit requirements. You are responsible for paying the full invoiced amount by the due date and using the specified reference (e.g. order or invoice number) when making payment.
4.3 Non‑payment and late payment
If payment is not received by the due date, SCS may suspend further deliveries or services, charge late payment interest or fees where permitted by law, and take reasonable steps to recover outstanding amounts.
5. Delivery, risk and returns
Details of delivery, risk transfer and returns will be specified in your quote or supply agreement. In general, risk in the goods passes to you on delivery as per the agreed Incoterms/delivery terms, and returns or cancellations must be agreed and may be subject to restocking fees or other conditions.
6. Use of the Portal and website
You agree to use the Portal and website lawfully and not interfere with their operation, refrain from attempting to gain unauthorised access to other accounts or systems, and not upload malicious code, unlawful content, or infringing materials. SCS may update the Portal and website, change features, or temporarily suspend access for maintenance or security.
7. Security, authentication and MFA
For your protection and ours, Portal accounts may require multi‑factor authentication (MFA), including SMS one‑time passwords (OTP) through a trusted provider. You must keep your login details confidential and notify SCS promptly if you suspect unauthorised access. SCS takes reasonable technical and organisational measures to secure the Portal, but cannot guarantee absolute security.
8. Data protection and privacy
SCS processes your personal and business data in accordance with its Privacy Policy. This includes using customer data to respond to RFQs, issue quotes and manage orders, and using trusted service providers (e.g. Zoho CRM, QuickBooks, payment gateways, OTP providers) to support these services. By using the Portal and submitting RFQs, you consent to the processing described in the Privacy Policy.
9. Intellectual property
All content on the website and Portal (design, text, graphics, logos, software) is owned or licensed by SCS and protected by applicable laws. You may not copy, distribute, or exploit this content for commercial purposes without SCS’s prior written consent, except as necessary to use the Portal for its intended purpose.
10. Disclaimers and limitation of liability
SCS works to keep the website and Portal accurate and available, but services are provided “as is” and “as available”, without guarantee of uninterrupted access. SCS is not liable for indirect or consequential losses arising from Portal use, RFQs or minor delays, except where required by law. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited under applicable law.
11. Changes to these Terms
SCS may update these Terms from time to time. Updated versions will be posted on the website and Portal and will apply to future RFQs and orders. Continued use of the Portal after changes indicates acceptance of the updated Terms.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Zambia. Any disputes arising from Portal use, RFQs, quotes or orders will be subject to the jurisdiction of the Zambian courts, unless otherwise agreed in a specific contract.
